Please read these Terms & Conditions carefully before using CollectERP (“the Platform”). By registering or using the Platform, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing the Platform you confirm you are at least 18 years old, have authority to act for your business, and agree to comply with all applicable laws of the Republic of India.

2. Description of Service

CollectERP is a B2B SaaS platform enabling distributors to manage retailer payment collections, track outstanding dues, manage field sales executives and accept digital payments through integrated gateways.

3. User Accounts & Roles

• Each account is personal and non-transferable
• You are responsible for maintaining credential confidentiality
• Notify us immediately of any unauthorised account use
• The platform operates 4 roles: Super Admin, Distributor, FSE, Retailer. Each has defined permissions that must not be circumvented
• Super Admin approval is required before Distributor accounts become active

4. Payment Terms

• Subscription fees are billed in advance monthly or annually
• All prices are in INR, exclusive of applicable GST
• Subscription fees are non-refundable except as stated in our Refund Policy
• Failed payments may result in account suspension after a 7-day grace period

5. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose under Indian law
• Process payments for prohibited goods or services
• Attempt unauthorised access to other accounts or system components
• Reverse-engineer or attempt to derive source code of the platform
• Introduce malicious code, malware or automated bots
• Misrepresent transaction amounts or fabricate invoices
• Facilitate money laundering, fraud or financial crime

6. Payment Gateway Usage

• Payment gateway integrations are subject to each gateway’s own merchant terms
• You are solely responsible for maintaining valid merchant accounts with gateways
• The Platform facilitates payment processing but is not a payment aggregator or financial institution
• Payment disputes between distributors and retailers must be resolved between those parties

7. Data Ownership

• You retain ownership of all business data you enter (retailers, invoices, payment records)
• You grant us a limited licence to process and store data solely to provide the service
• Upon account termination, request a data export within 30 days

8. Intellectual Property

The Platform, its design, code and branding (except your business data) are the intellectual property of CollectERP. You may not copy, modify or distribute any part without prior written consent.

9. Limitation of Liability

• The Platform is provided “as is” without warranty
• We are not liable for indirect, incidental or consequential damages
• Our total liability for any claim shall not exceed amounts paid by you in the 3 preceding months
• We are not responsible for losses from payment gateway downtime or disputes

10. Governing Law & Disputes

These terms are governed by the laws of the Republic of India. Disputes unresolved in 30 days shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Noida, Uttar Pradesh, India.

11. Changes to Terms

We may update these terms. Registered users will be notified by email of material changes. Continued use after the effective date constitutes acceptance.
